Territory and Jurisdiction Limits in NZ Liability Cover

Territorial Limits means the countries or territories as shown in Items 10 and 11 of the Schedule.

This Policy shall be construed according to the laws of New Zealand. Any issue and all disputes relating to this Policy shall be determined by the laws of New Zealand, whose courts shall have exclusive jurisdiction to hear any dispute.

This Policy applies to: a. Professional Business Services performed, or any other matters which give rise to coverage under this Policy which take place, anywhere in the world; and b. Claims brought against the Insured anywhere in the world except any such Claim brought in the United States of America, Canada or any possession or territory of either such country or any legal proceeding brought to enforce a judgment obtained in any such country, possession or territory.

This Policy and any issue, including all and any disputes, relating to its formation, construction, validity or operation shall be determined by the laws of New Zealand whose Courts shall have exclusive jurisdiction to hear any dispute.

New Zealand (Part 3 Territorial Limits defined as New Zealand; Part 1 and Part 2 refer to Territorial Limits as specified in the Schedule)

As specified in the schedule; exclusion 4.24 applies to any claim arising from or in connection with any act, error, omission or conduct that occurred outside of the territorial limit specified in the schedule.

Any act or omission occurring in the course of the Business that gives rise, or may give rise, to an action under an Act of Parliament. (Act of Parliament means any Act of the New Zealand Parliament other than an Excluded Act.)

This Policy shall be governed by the laws of New Zealand whose courts shall have jurisdiction in relation to any dispute.

Personal Injury in New Zealand that arose out of, or in the course of such Employee's employment in the Business

This insurance shall be governed by the laws of New Zealand whose courts shall have jurisdiction in any dispute arising hereunder.

Section A: territorial limit specified in the Schedule; Loss of Documents limited to New Zealand or Australia. Section B: Policy Territory means Worldwide, unless otherwise stated in the Schedule, and subject to Exclusions 11 (North American Countries) and 12 (North American Exports) and the limitations to New Zealand only in Automatic Coverage Clauses 5, 7, 9, 10 and 11 of this section.

Section A Exclusion 9: In respect of any legal action: first brought in a court outside the jurisdiction of the countries specified in the Schedule; or brought in a court within the jurisdiction of the countries specified in the Schedule to enforce a judgment of a court outside the jurisdiction of the countries specified in the Schedule whether by way of a reciprocal agreement or otherwise; or in which the proper law to be applied to the issues or any of them is that of a country other than the countries specified in the Schedule.

anywhere in the world, except North America, where the policy will only apply in respect of: products exported to North America; and business visits to North America by executives or sales persons normally resident in New Zealand or the Commonwealth of Australia.

In the event of any dispute arising under this policy including, but not limited to, its construction and/or validity and/or performance and/or interpretation, the insured will submit to the exclusive jurisdiction of any competent Court in New Zealand.

any liability suffered outside of New Zealand and from any judgment brought in any Court outside of New Zealand [is excluded].

any liability for any claim arising out of personal injury for damages and defence costs suffered outside of New Zealand and from any proceeding brought in any Court outside of New Zealand.

cover is provided in the jurisdiction in which such civil and administrative fines and penalties are imposed or levied; claims brought within the jurisdiction of or pursuant to the laws of the United States of America or its territories or possessions are addressed separately as US securities claims; otherwise territorial scope is not expressly limited in the wording.

this Policy is construed pursuant to the law applicable to this Policy as specified in the schedule; references include New Zealand (Law Reform Act 1936 (NZ)), Australia (Law Reform (Miscellaneous Provisions) Act 1946 (NSW), Civil Law (Wrongs) Act 2002 (ACT), Law Reform (Miscellaneous Provisions) Act 1956 (NT)), the United Kingdom (Financial Services and Markets Act 2000), and the United States (Securities Act of 1933, Foreign Corrupt Practices Act).

The incident must occur in New Zealand (per Automatic Coverage Clause 2.25); jurisdictional limit for dishonest acts as specified in the schedule.

The insurance provided by this policy shall apply only to dishonest acts committed within the Jurisdictional Limit specified in the schedule unless otherwise stated.

worldwide, unless otherwise stated in the schedule, and subject to Exclusions 3.13 (North American Countries) and 3.14 (North American Exports), and the limitations to New Zealand only in Automatic Coverage Clauses 2.11 (Product Withdrawal Costs), 2.13 (Punitive or Exemplary Damages), 2.15 (Underground Services), 2.16 (Vehicle and Watercraft Service / Repair Liability) and 2.17 (Vibration and Removal of Support).

Any claim or liability arising from or directly or indirectly attributable to or in consequence of any act, error or omission that occurred outside the countries specified in the schedule.

happening within the geographical limits during the period of insurance

This insurance will not apply to any judgement delivered by a court outside New Zealand (or any judgement, registration or order obtained in New Zealand to enforce that same judgement) where the persons insured are represented in a country outside New Zealand by or through any: (a) branch; (b) trading division; (c) subsidiary; (d) associated company or companies; or (e) employee or company holding a power of attorney on behalf of any of the persons insured.

The Insurance afforded by this Policy shall apply: (a) with respect to the premises and operations of the Insured within the Territory stated in the Schedule; (b) with respect to the Products Hazard and Products Recall within the Products Territory stated in the Products Schedule; (c) with respect to incidental travel anywhere in the world.

This Policy shall be governed by the laws of New Zealand whose courts shall have exclusive jurisdiction. / This policy shall be governed by the law of New Zealand, the Courts of which shall have exclusive jurisdiction over any dispute.
